1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and SECURAS (“Company,” “we,” “us,” or “our”) regarding your use of the CyberShield WAF (Web Application Firewall) services (“Services”).

By accessing, using, or purchasing our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

These Terms apply to all users of our Services, including visitors, customers, and partners. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • “CyberShield WAF” or “Services”: The web application firewall services, software, and related technologies provided by SECURAS
  • “Customer Data”: Any data, content, or information that you submit, upload, or transmit through our Services
  • “Malicious Traffic”: Network traffic that poses a security threat, including but not limited to attacks, malware, spam, or unauthorized access attempts
  • “Protected Website”: Your website or web application that is protected by our WAF Services
  • “Service Level Agreement” or “SLA”: The uptime and performance guarantees specified in your service plan
  • “Subscription”: Your paid access to our Services for a specified period
  • “User Account”: Your registered account that provides access to our Services and customer portal

3. Description of Services

CyberShield WAF is a cloud-based web application firewall service designed to protect websites and web applications from various cyber threats and attacks. Our Services include:

3.1 Core Protection Features

  • Real-time threat detection and blocking
  • Protection against OWASP Top 10 vulnerabilities
  • SQL injection and cross-site scripting (XSS) prevention
  • DDoS attack mitigation
  • Bot management and rate limiting
  • Geo-blocking and IP reputation filtering
  • SSL/TLS encryption and certificate management

3.2 Advanced Features

  • AI-powered threat intelligence
  • Custom security rules and policies
  • Real-time security monitoring and alerts
  • Detailed security reports and analytics
  • API protection and rate limiting
  • Content delivery network (CDN) integration
  • 24/7 security operations center (SOC) monitoring

3.3 Service Modifications

We reserve the right to modify, update, or discontinue any aspect of our Services at any time. We will provide reasonable notice of material changes that may affect your use of the Services.

4. Eligibility and Account Registration

4.1 Eligibility Requirements

To use our Services, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Maintain the security and confidentiality of your account credentials
  • Comply with all applicable laws and regulations

4.2 Account Registration

To access our Services, you must create a user account by providing:

  • Valid email address
  • Secure password
  • Company or organization information (if applicable)
  • Billing and contact information

4.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use of your account
  • Ensuring that your account information remains accurate and up-to-date

6. Payment Terms

6.1 Billing and Payment

  • Services are billed monthly or annually in advance
  • Payment is due immediately upon invoice generation
  • We accept major credit cards and bank transfers
  • All payments are processed through secure, PCI-compliant payment processors
  • You authorize us to charge your payment method for recurring subscription fees

6.2 Late Payments and Suspension

  • Accounts with overdue payments may be suspended after 7 days
  • Late payment fees may apply as permitted by law
  • Service restoration requires payment of all outstanding amounts
  • We reserve the right to terminate accounts with chronic payment issues

6.3 Refunds and Cancellations

  • Monthly subscriptions can be cancelled at any time with 30 days’ notice
  • Annual subscriptions are non-refundable except as required by law
  • Pro-rated refunds may be provided for service outages exceeding SLA commitments
  • Setup fees and custom development costs are non-refundable

6.4 Price Changes

We may change our pricing with 30 days’ written notice. Price increases will not affect your current billing cycle but will apply to subsequent renewals.

7. Acceptable Use Policy

7.1 Permitted Uses

You may use our Services to protect legitimate websites and web applications from security threats, provided that your use complies with all applicable laws and these Terms.

7.2 Prohibited Uses

You may not use our Services for:

  • Illegal activities or content that violates applicable laws
  • Distributing malware, viruses, or other harmful code
  • Phishing, fraud, or deceptive practices
  • Spam, unsolicited communications, or email bombing
  • Copyright infringement or intellectual property violations
  • Adult content, gambling, or other restricted industries (where prohibited by law)
  • Activities that could harm our infrastructure or other customers
  • Attempting to bypass, disable, or interfere with our security measures
  • Reverse engineering, decompiling, or attempting to extract our source code

7.3 Content Responsibility

You are solely responsible for all content transmitted through or stored on your Protected Websites. We do not monitor, review, or control your content, but we reserve the right to remove or block access to content that violates these Terms.

7.4 Compliance Monitoring

We may monitor your use of our Services to ensure compliance with these Terms. Violations may result in service suspension or termination without refund.

Violation Consequences

Violations of this Acceptable Use Policy may result in immediate service suspension or termination, legal action, and cooperation with law enforcement authorities as required by law.

8. Service Availability and SLA

8.1 Service Level Agreement

We strive to maintain high service availability and performance standards:

8.2 Planned Maintenance

  • We may perform scheduled maintenance with 24 hours’ notice
  • Emergency maintenance may be performed without prior notice
  • Maintenance windows are excluded from uptime calculations
  • We will minimize service disruption during maintenance

8.3 Service Credits

If we fail to meet our uptime guarantees, you may be eligible for service credits:

  • 99.0% – 99.5% uptime: 10% monthly fee credit
  • 95.0% – 99.0% uptime: 25% monthly fee credit
  • Below 95.0% uptime: 50% monthly fee credit

Service credits must be requested within 30 days of the incident and are your sole remedy for service availability issues.

9. Data Protection and Privacy

9.1 Data Processing

In providing our Services, we may process various types of data:

  • HTTP request and response data for security analysis
  • IP addresses and geographic location information
  • Security event logs and threat intelligence data
  • Performance and usage analytics
  • Account and billing information

9.2 Data Security

We implement industry-standard security measures to protect your data:

  • Encryption in transit and at rest
  • Access controls and authentication
  • Regular security audits and assessments
  • Incident response and breach notification procedures
  • Compliance with GDPR and other applicable privacy laws

9.3 Data Retention

We retain data only as long as necessary for service provision, legal compliance, and security purposes. Detailed information about our data practices is available in our Privacy Policy.

9.4 Customer Data Ownership

You retain ownership of all Customer Data. We do not claim any ownership rights in your content or data, except for the limited rights necessary to provide our Services.

10. Intellectual Property Rights

10.1 Our Intellectual Property

The CyberShield WAF Services, including all software, algorithms, databases, and related technologies, are owned by SECURAS and protected by intellectual property laws. Our intellectual property includes:

  • Software code and algorithms
  • Security rules and threat intelligence
  • Trademarks, logos, and branding
  • Documentation and user interfaces
  • Patents and trade secrets

10.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use our Services during your subscription period. This license does not include the right to:

  • Modify, adapt, or create derivative works
  • Reverse engineer or decompile our software
  • Remove or alter proprietary notices
  • Use our intellectual property for competitive purposes

10.3 Customer Content

You retain all rights to your content and data. By using our Services, you grant us a limited license to process your data solely for the purpose of providing our Services.

10.4 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide about our Services become our property and may be used without compensation or attribution.

11. Limitation of Liability

Important Legal Notice

Please read this section carefully as it limits our liability to you.

11.1 Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted or error-free operation
  • Complete security or protection from all threats

11.2 Limitation of Damages

To the maximum extent permitted by law, our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

11.3 Exclusion of Consequential Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Reputational harm or damage

11.4 Security Limitations

While our Services provide significant security protection, no security solution can guarantee complete protection against all threats. You acknowledge that:

  • New and unknown threats may not be detected
  • Determined attackers may find ways to bypass security measures
  • You remain responsible for implementing comprehensive security practices
  • Our Services are one component of a broader security strategy

12. Indemnification

You agree to indemnify, defend, and hold harmless SECURAS, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your content or data transmitted through our Services
  • Infringement of third-party intellectual property rights
  • Any negligent or wrongful acts or omissions

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

13. Termination

13.1 Termination by You

You may terminate your subscription at any time by:

  • Cancelling through your account dashboard
  • Contacting our customer support
  • Providing written notice of cancellation

Cancellation takes effect at the end of your current billing period.

13.2 Termination by Us

We may terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account has overdue payments for more than 30 days
  • You engage in fraudulent or illegal activities
  • We are required to do so by law or court order
  • Continued service would pose security risks to our infrastructure

13.3 Effect of Termination

Upon termination:

  • Your access to our Services will be immediately suspended
  • Your Protected Websites will no longer receive security protection
  • We may delete your account data after 30 days
  • Outstanding fees remain due and payable
  • Provisions that should survive termination will remain in effect

13.4 Data Export

Before termination, you may export your configuration settings and security logs through our customer portal. We are not responsible for data loss after account termination.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us to seek an informal resolution of any disputes. Many disputes can be resolved quickly and amicably through direct communication.

14.2 Mediation

If informal resolution is unsuccessful, disputes may be resolved through mediation administered by a recognized mediation service in France. The costs of mediation will be shared equally between the parties.

14.3 Arbitration

For disputes that cannot be resolved through mediation, binding arbitration may be required as specified in your service agreement. Arbitration will be conducted in accordance with French arbitration rules.

14.4 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of France.

If you are located outside of France, you consent to the jurisdiction of French courts and waive any objection to venue or inconvenient forum.

15.1 International Users

If you are accessing our Services from outside France, you are responsible for compliance with local laws and regulations. Our Services may not be available in all jurisdictions.

16. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make changes, we will:

  • Update the “Last Updated” date at the top of these Terms
  • Notify you via email or through our Services
  • Provide at least 30 days’ notice for material changes
  • Post the updated Terms on our website

Your continued use of our Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of our Services.
